1. By visiting https://www.leroots.com/, or any webpage located thereon (collectively, the “Site”), you agree that you have had an opportunity to review these Terms and Conditions (the “Terms”) and you further agree to accept and be bound by these Terms. Various services are offered through the Site, including the ability to view, shop for, and purchase local produce (the “Products”) for pickup or delivery (collectively, the “Services”). In order to use these Services, you must agree to the Terms. If you do not agree with these Terms, immediately discontinue your use of the Site. Any unauthorized or illegal use of the Site (including access to the Site from prohibited locations or the use of the Site to post or promote illegal activity) is strictly prohibited.

2. Unless otherwise indicated, all content on the Site, including text, articles, photos, logos, graphics, and images are property of Le Roots LLC (“Le Roots”) or its partners. All such material is protected under United States copyright laws. Reproduction of any such content without permission is prohibited. Furthermore, unauthorized use of Le Roots’ name, image, likeness, logos, graphics or other trademarked assets is strictly prohibited.

3. Le Roots grants you a limited, non-exclusive license to access and make use of the Site. This license may be revoked at any time and for any reason. This license may not be sold or sublicensed without Le Roots’ prior consent. This license grants you access to and use of the Site only, and it does not guarantee continued use or access. You may not modify or attempt to modify the Site.

4. In order to use the Services, you may be required to make an account on the Site and pay a monthly subscription fee. By making an account, you agree that: (a) You are at least 18 years old or the age of majority in your jurisdiction; (b) You will provide your full legal name; (c) All information provided in creating your account is accurate; (d) You will take responsibility for the safety and security of your account; (e) All activity performed through or associated with your account is your responsibility; and (f) You will timely make payment for any subscription services offered, including those that may be necessary for your access to the Services. Failure to timely pay for any subscription may result in your inability to access some or all of the Services, the cancellation of such subscription and the termination of your account.

5. As part of the Services offered through the Site, you may purchase Products. Payment for any such Products is due immediately on purchase as set forth and described on the applicable webpage. All purchases are final. Refunds, in the form of credit for future purchases, may be offered if, within twenty-four (24) hours of pickup or delivery, as the case may be, you provide Le Roots with: (a) a notice of rejection, rejecting the purchased Products; and (b) sufficient proof, evidence, and/or explanation for the rejection. Notwithstanding the forgoing, refunds based on your rejection of the Products may be given or withheld in Le Roots’ sole discretion, and in no event will Le Roots give refunds for Products spoiled, contaminated, or damaged after delivery or pickup. Le Roots may elect or be required to cancel orders to purchase Products; in such case you will be offered credit for future purchases. Le Roots shall not be liable for any cancelled orders. As part of the Services, any Products you purchase may be delivered to you or made available for pickup. Title to any purchased Products passes upon delivery or pickup, as the case may be. Le Roots makes no representation, warranty, or guarantee related to any delivery or pickup services. Deliveries shall be made to the address you provide to Le Roots within hours, provided such address is located within miles of Le Roots’ physical location at __________, or as otherwise specified on the applicable Product webpage or checkout webpage. Le Roots shall not be liable for any failed delivery because of any inaccurate or incomplete delivery information you provide, or caused by any acts or occurrences outside of Le Roots’ control. In the event of a failed delivery Le Roots will contact you to arrange a resolution. You understand and agree that Le Roots may contract with or otherwise use a third-party for delivery.

6. You acknowledge and agree that you are a retail purchaser of the Products and that Products will be for personal use or consumption. You further agree not to resell the Products or use the Products for commercial purposes without Le Roots’ permission.

7. Le Roots reserves the right to refuse service (including the Services) or access to the Site to any person or entity for any reason.

8. Le Roots is not responsible for the content of any external links posted or displayed on the Site. To the extent any links redirect you to any webpage belonging to a partner or affiliate of Le Roots, you agree to accept such partners’ or affiliates’ terms and conditions, terms of use, or similar terms as may be required to access such webpage.

9. You agree to indemnify, defend, and hold harmless Le Roots and its owners, officers, employees, agents, and affiliates from and against any liabilities, claims, judgments, demands, costs, fees, actions, charges, obligations and expenses (including reasonable attorneys’ fees) arising from or relating to your access to and/or use of the Site and Services, and/or your purchase, pickup, delivery, and use (each as applicable) of the Products.

10. THE SITE, THE SERVICES, AND THE PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. LE ROOTS MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND OR NATURE, WHETHER EXPRESS OR IMPLIED RELATING TO THE SITE, THE SERVICES, AND/OR THE PRODUCTS, INCLUDING THE AVAILABILITY, OPERATION, OR CONTENT OF THE SITE; THE AVAILABILITY, ACCURACY, OR THE PROVIDING OF ANY SERVICES; OR THE QUALITY OF THE PRODUCTS OR THE ACCURACY OF ANY INFORMATION OR IMAGES RELATING TO THE PRODUCTS. TO THE FULLEST EXTENT PERMITTED UNDER THE LAW, LE ROOTS EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, OF ANY KIND OR NATURE, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF ACCURACY, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL LE ROOTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES HOWEVER CAUSED, REGARDLESS OF ANY THEORY OF LIABILITY, WHETHER IN CONTRACT OR TORT, ARISING FROM OR RELATING TO YOUR ACCESS TO AND/OR USE OF THE SITE AND SERVICES, AND/OR YOUR PURCHASE, PICKUP, DELIVERY, AND USE (EACH AS APPLICABLE) OF THE PRODUCTS. FOR THE AVOIDANCE OF DOUBT, LE ROOTS SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INJURIES OR DAMAGES OF ANY KIND OR NATURE RELATING TO OR CAUSED BY THE PRODUCTS, INCLUDING INJURIES OR DAMAGES RELATING TO OR CAUSED BY IMPROPER PREPARATION OF THE PRODUCTS, PRODUCT ALLERGIES, OTHER FOODBORNE ILLNESSES, AND/OR PRODUCT PACKAGING.

11. Le Roots may, in its sole discretion, amend these Terms at any time, with or without notice.

12. All matters relating to Site or these Terms, and any disputes or legal proceedings relating thereto, shall be governed by the laws of the State of Florida.

13. At Le Roots’ sole discretion, it may require any dispute relating to the Site or these Terms be submitted to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Florida law.

14. Should any of the terms or conditions of the Terms be deemed invalid or unenforceable under the laws of any applicable jurisdiction, the invalidity or unenforceability of such terms or conditions shall affect the validity of the remaining provisions, which shall remain in full force and effect.

15. No waiver by Le Roots of any of the terms or conditions of the Terms shall be deemed a further or continuing waiver or a waiver of any other terms or conditions, and the failure of Le Roots to assert any right or provision under the Terms shall not constitute a waiver of such right or provision.

16. As used herein, “you” refers to any user of the Site.
